Terms of Trading

Introduction

These Terms of Trading apply to all goods and services supplied by Sound Services.

By placing an order, commissioning work, or purchasing goods from us, you agree to these terms. For a formal version, please refer to our downloadable PDF Terms of Trading here.

1. General

These terms apply to all sales, installations, hire services and related work carried out by Sound Services unless otherwise agreed in writing.

They form the entire agreement between both parties and override any prior discussions, representations or informal agreements.

2. Orders and Acceptance

All orders are subject to acceptance and availability.

We reserve the right to decline or cancel any order where necessary.

We are happy to accept official purchase orders from UK organisations, including schools, councils, universities and other public bodies. These may be subject to separately agreed terms where required.

No variation to these terms will apply unless confirmed in writing by Sound Services.

3. Pricing and VAT

All prices are subject to UK VAT at the current rate.

Prices may change where manufacturers or suppliers adjust their pricing, however we will always aim to honour confirmed quotations where possible.

All quotations and estimates:

  • are valid for 28 days
  • are subject to VAT
  • apply only when accepted in full

4. Payment Terms

Unless otherwise agreed:

  • Account customers: payment is due within 28 days of invoice
  • All other customers: payment is required before or at the time of delivery
  • Hire services: payment must be made prior to the event

We accept payment via:

  • debit and credit cards
  • PayPal
  • bank transfer (BACS, CHAPS, SWIFT)

Goods will only be released once cleared funds have been received.

Late payments may incur interest and recovery costs.

5. Delivery, Risk and Shipping

We supply goods within the UK.

Delivery times are estimates and cannot be guaranteed. Where items are in stock, most UK mainland deliveries are completed within 2–5 working days.

Additional delivery charges may apply for:

  • large or heavy items
  • remote or offshore locations

Deliveries may require a signature or proof of receipt.

Risk in the goods passes to the customer upon delivery. Ownership of the goods remains with Sound Services until full payment has been received.

Any shortages, damage or non-delivery must be reported in writing within 5 working days.

6. Returns and Cancellations

Goods are not supplied on a sale-or-return basis.

If goods are returned without fault:

  • all carriage costs are the responsibility of the purchaser

Consumers (private individuals) retain their statutory rights under the Consumer Contracts Regulations, including a 14-day cancellation period.

Custom-built, configured or non-standard systems may not be eligible for return.

Cancellation of orders by business customers may result in charges, including supplier restocking fees and administration costs.

7. Retention of Title

All goods remain the property of Sound Services until they have been paid for in full.

We reserve the right to recover goods where payment has not been received.

8. Installation and Site Conditions

Where installation work is included:

  • Access to the site must be available and unrestricted
  • Any required building or electrical work must be completed by others
  • Any existing equipment to be reused must be safe, compliant and fully operational

If installation is delayed or prevented due to site conditions, lack of access or other circumstances outside our control, additional charges may apply.

Abortive visits, wasted time on site or return visits caused by incomplete preparation or client-side delays may also be chargeable.

Additional charges may apply for:

  • access equipment (such as towers or lifts)
  • parking restrictions or site access limitations
  • remedial work required on existing systems

9. Warranty

All goods are supplied with the benefit of the manufacturer’s warranty where applicable.

Sound Services does not provide any additional warranty beyond that offered by the manufacturer unless agreed in writing.

All warranty claims are subject to the manufacturer’s terms and conditions.

10. Liability

We are not liable for:

  • indirect or consequential losses
  • loss of profit, business or opportunity
  • business interruption

Our total liability is limited to the value of the goods or services supplied.

Nothing in these terms limits liability for death or personal injury caused by negligence.

11. Data Protection and Security

We comply with UK data protection legislation, including GDPR.

Payment details are processed securely by third-party providers and are not stored by us.

We only use personal data where necessary to:

  • process orders
  • provide services
  • offer customer support

12. Force Majeure

We are not liable for delays or failure to perform obligations where this is caused by events outside our reasonable control.

This includes, but is not limited to:

  • supplier delays
  • transport disruption
  • labour disputes
  • utility failures
  • other unforeseen circumstances

13. Intellectual Property

All quotations, system designs, documents and materials produced by Sound Services remain our intellectual property.

They may not be reproduced, shared or used without our prior written consent.

14. General

We will notify customers as soon as reasonably possible if we are unable to fulfil an order.

These terms are governed by the laws of England and Wales.

Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
